Title:Counsel

This Counsel positionwillbe expected to provide legal support to the company with a focus on one or more of the following primary areas:Regulatory & Compliance; and/or General Contracting & Vendor Management. This position will work closely with East Points General Counsel and withmultiple business line teams,as applicable, to provide legal support for the ongoing activities of the company, as well as develop and manage the companys portfolio of assets at various stages of development,constructionand operation.The position will report directly to the General Counsel and may have direct reports over time.

Roles & Responsibilities:

• Provide legal oversight of company activities within designated focus areas, collaborating closely with relevant business lines and other members of the Legal Department

• Developandadminister legal processes and procedures, including compliance programs

• Projectinterfacewithmultiplepartiesincludingparentcompany,board members,outsidecounsel,financialpartners, and regulatory and other governmental authorities
  

• Interactand negotiatewith contract counterpartiesandtheircounsel

• Conduct andoverseeinternal due diligence activities

• Conductinternaltrainingsfor relevant business lines within designated focus areas

• Draft, review,revise,andnegotiatecontracts, amendments, legal notices, and related documentation

• Coordinate with and manage external counsel on legal matters

• Represent thecompanys capabilities and image,includingpotentialparticipation inparent company forums and events,conferences, trade shows, and other business development opportunities

• Performother related dutiesand special projectsas assigned

Skills:

• Strongwritten and verbal communication; abilityto communicateclearly andeffectivelywithaudiences with varying degrees of technical/legal understanding

• Strong negotiation and presentation skills

• Extensivelegal subject matterexpertisein one or more of the following areas:

• Regulatory & Compliance(relevant to independent power producers,grid- scaleBESS,renewable energy industry, etc.)

• General Contracting & Vendor Management (power purchase agreements/revenue contracts,service/supply/software agreements, etc.)

• Strong ability to multi-task and effectively address competing priorities
  

• Proficiencywith Microsoft software suite (Word, Excel, PowerPoint, OneNote, Teams, etc.)

Education & Experience:

• J.D.

• Minimum of four (4) years of practicein one or more of the above-referenced focus areas

• Active and valid Bar license instate of residence

• Experiencerepresentingindependent power producers preferred

• Energy storage or other renewable energy industry experiencepreferred

Travel & Time Commitment:

• Limited travel related tocompany retreatsandpossibly industryconferences

• This is a full-time, exempt salaried position. Standard office hours are from 8:30 AM 5:30PM EST.The demands of projects may require work outside of these times.
