Director of Legal CFSI

Position Overview
We are seeking a highly accomplished, mission-driven counsel to serve as the principal legal officer for Cellebrite’s Foreign Ownership, Control, or Influence (FOCI) proxy company Cellebrite Federal Solutions Inc. Operating under a Department of Defense (DoD) Proxy Agreement, our company functions as an independent, cleared entity.
In this critical role, you will advise the Board of Directors, the CEO, and the executive leadership team on all legal, regulatory, and corporate governance matters. You will have primary responsibility for all federal contracting, complex commercial and partner agreements, procurement, and compliance.
Clearance Requirement: Active Top Secret (TS/SCI preferred)
Key Responsibilities
1. FOCI & Corporate Governance
- Act as the primary legal advisor to the Proxy Board of Directors and executive leadership, ensuring compliance with National Industrial Security Program (NISP) FOCI mitigation instruments.
- Manage all corporate secretarial functions, including drafting, reviewing, and maintaining Board agendas, resolutions, meeting minutes, and corporate governance policies.
- Ensure the operational separation required by the Proxy Agreement between the company and our foreign affiliates/parents is rigidly maintained.
2. Federal Contracting & Regulatory Compliance
- Oversee all federal prime contracts, subcontracts, and teaming agreements, ensuring strict adherence to FAR, DFARS, and agency-specific supplements.
- Advise on complex government contracting issues, including Procurement Integrity Act compliance, OCI (Organizational Conflict of Interest) mitigation, cost accounting standards, and data rights.
- Serve as the primary point of contact for external regulatory bodies (DCSA, DoD, etc.) alongside the Facility Security Officer (FSO).
3. Partner, Commercial & Procurement Agreements
- Structure, draft, negotiate, and review a high volume of complex commercial agreements, including strategic partnership agreements, joint ventures, vendor contracts, and master service agreements (MSAs).
- Lead the legal review for the procurement and supply chain teams, identifying and mitigating risks associated with supply chain illumination, software licensing, and hardware procurement.
4. General Corporate & Risk Management
- Manage corporate legal matters, including employment law issues, intellectual property protection, non-disclosure agreements (NDAs), and dispute resolution.
- Oversee external counsel budget and selection when specialized litigation or localized expertise is required.

REQUIREMENTS
Qualifications & Skills:
Required Education & Experience:
- Juris Doctor (J.D.) from an accredited U.S. law school.
- Bar Admission: Active member in good standing of a State Bar (and eligible for Corporate Counsel status in the state of employment if applicable).
- Experience: 10+ years of legal practice, with a strong preference for a mix of top-tier law firm training and in-house experience within the defense or federal contracting technology sectors.
- FOCI Expertise: Direct, hands-on experience working within a FOCI-mitigated environment (Proxy Agreement or Special Security Agreement).
- Deep fluency in the FAR and DFARS .
Security Clearance:
- Clearance: Must possess an active Top Secret security clearance (eligibility for SCI is highly preferred). U.S. Citizenship is required.

- Exceptional drafting skills with the ability to turn complex business objectives into clear, legally sound agreements.
- Impeccable ethical judgment and the emotional intelligence required to interface effectively with a Proxy Board and foreign parent company representatives.
