Corporate Counsel

Position Summary and Objective
The newly created position of Corporate Counsel will be responsible for Global Guardian's contract lifecycle, working with Business Development, Account Management, Operations, and Accounting teams to ensure that all agreements are current, complete, timely processed, and properly archived. This is a growth-oriented position that will expand in scope and responsibilities as the company grows.

Essential Functions and Responsibilities

• Manage the day-to-day flow of new and renewing client contracts using Ironclad CMS.
• Produce first drafts of contracts and perform the initial review of client redlines and comments.
• Manage legal systems compliance by ensuring all executed agreements are completely and accurately tagged, categorized, and searchable.
• Perform legal research, generate memos and summaries, and create and maintain reference materials.
• Identify opportunities for competitive bids resulting from new or changing public safety legislation and support Business Development in completing such bids.
• Audit company operating licenses and monitor state regulations to ensure continued compliance.

Qualifications and Education

• JD from an accredited law school.
• Demonstrated experience at a law firm, government agency, or corporate legal department.
• Thorough understanding of commercial contract principles.
• Experience in drafting, redlining, and negotiating business-to-business service contracts preferred.
• Experience using Ironclad or a similar contract management system (CMS) preferred.

Key Performance Indicators
Success in the role of Corporate Counsel will be defined by the following key performance indicators:

• Time between contract request from Business Development and delivery of initial draft.
• Time between receipt of client redlines/comments and response to client.
• Percentage of expiring contracts that are extended prior to their expiration.
• Percentage of contract documents loaded into Ironclad and correctly tagged.
• Ironclad workflow fidelity and hygiene (e.g., archiving of completed workflows, closing of lost opportunities, ensuring that workflows are linked to the correct stakeholders, etc.).

Position Type and Schedule

• Regular Full-Time (RFT).
• Salaried, Exempt Professional.
• High visibility in-person position in McLean, VA.
• Salary Range: $100,000 - $120,000 annually.
