Capital One’s Legal Department is seeking an experienced commercial real estate finance attorney to support its growing Commercial Bank. This is a great opportunity to join an outstanding team at a Fortune 100 Company that is consistently voted one of the best places to work in the U.S. You will be one of the critical and primary subject matter experts supporting our multibillion-dollar Commercial Real Estate (CRE) business, a segment within the Commercial Bank that provides permanent and construction financing for a broad range of project types, including multifamily housing, industrial facilities, and retail, as well as financing for REITS, real estate funds, and bridge lending. Responsibilities Include:

• Advising the CRE finance businesses on a wide variety of matters

• Providing legal support to CRE as a trusted advisor and strategic partner to the transaction teams and other internal partners

• Working with business partners on the structuring, due diligence, documenting, negotiating and closing of CRE transactions

• Engaging and overseeing outside legal counsel in an effective and efficient manner

• Partnering collaboratively with other internal counsel and business teams in the Commercial Bank and across the enterprise

• Advising Commercial Bank business partners on communications with external parties, including customers, regulators, partners, industry trade groups and outside law firms

• Providing thought and strategic leadership on relevant industry and regulatory developments

• Leading projects such as the development of form documents, negotiation guidelines and training sessions

• Partnering with the Commercial Bank’s Risk and Compliance officers to ensure comprehensive support

• Partnering with the Operations team to drive process improvements

Basic Qualifications:

• Juris Doctor from an accredited law school

• Active member in good standing of at least one state bar

• At least 4 years of experience as an attorney in a law firm, at a government agency, as a military judge advocate or as in-house counsel working on commercial lending transactions

• At least 2 years of legal counsel experience focusing on commercial real estate financing transactions or mortgage secured real estate financing

Preferred Qualifications:

• 5+ years of experience in a law firm, in-house legal department, or a combination with a focus on commercial real estate financing transactions, mortgage secured real estate financing, CMBS, and/or structured repurchase transactions

• Experience with loan syndications

• Willingness to work on various types of commercial real estate lending transactions

• Working knowledge of commercial real estate lending issues involving title insurance, surveys, zoning, and flood, casualty/liability insurance

• Experience leading projects relating to form document development

• Excellent oral and written communication skills

• Strong ability to quickly understand the business needs and partner with the business

This role is hybrid meaning associates spend 3 days per week in-person at one of our offices listed on this job posting. Fridays are enterprise- wide virtual work days. Monday, Tuesday, Wednesday and Thursday are options for in-person days for associates to spend time together working in our beautifully-designed team areas.

The minimum and maximum full-time annual salaries for this role are listed below, by location. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Capital One is willing to pay at the time of this posting. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

McLean, VA: $193,000 - $220,300 for Sr. Manager, Sr. Counsel

New York, NY: $210,500 - $240,300 for Sr. Manager, Sr. Counsel

Candidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate’s offer letter.

This role is also eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI). Incentives could be discretionary or non discretionary depending on the plan.
