Senior Paralegal
** Express Employment Professionals is now hiring a Senior Paralegal / Legal Secretary.
**
As a Paralegal/Legal Secretary, with appropriate attorney oversight, you will provide legal support on a wide variety of legal issues, including corporate governance and entity management, compliance, drafting and review of contracts, NDAs, employment matters, mergers and acquisitions, legal research, litigation matters and management of real estate and intellectual property assets.
Essential Duties and Responsibilities
Manage and process accurate legal billing, working closely with the Finance team on approvals, accruals and monthly reporting.
Ensure all regulatory filings are completed on time and maintained in proper order, including coordinating with foreign filings and maintaining records with respect to foreign subsidiaries.
Support the management of intellectual property and patent and trademark updates, including maintaining records in coordination with outside firms.
Respond to requests for non-disclosure agreements and maintain related documentation.
Assist with real estate matters, including tracking lease renewals and amendments, terminations, maintaining records and related correspondence.
Maintain and update the legal document drive to ensure document accuracy, organization, and proper version control.
Prepare documents for notarization, e-notarization and apostille/legalization and ensure correct execution procedures are followed.
Provide administrative and coordination support to attorneys and other team members, including those working remotely.
Organize documents for entity management for all domestic and international subsidiaries.
Maintain the system for safekeeping of accurate corporate documents and the indexing of their content and updating when appropriate.
Prepare and maintain Board/committee minute books and resolutions and provide other corporate secretary services.
Ordering good standing certificates, certified charters, as necessary.
Develop and maintain a material contract database and manage collection of fully executed versions.
Assist with M&A transactions, including legal diligence, closing logistics and managing signature pages.
Support document preparation for litigation support, real estate transactions, policies and record retention.
Assist General Counsel, Contract Manager, outside counsel or consultants supporting legal matters, as needed.
Perform other duties as assigned.
Travel up to 10% of the time.

Diligent worker with results orientation and sense of urgency; able to set and meet deadlines.

Ability to apply comprehensive knowledge in a variety of areas of expertise to the completion of complex assignments. Competence functioning independently when appropriate.
** Education and Experience Requirements
**
Bachelor’s degree in pre-law, political science, administration or other related degree
Paralegal certification is a plus
7+ years experience in a corporate law department (preferred) or law firm, including extensive experience in areas noted above including with a manufacturing organization
